Resolutions, certificates, consents, and incumbency records — prepared from details already on file.
New directors, officers, and shareholders stay connected to the corporate history you already built.
No lawyers. No spreadsheets. No binder assembly.
Corporation name, directors, officers, and share structure. Takes about 5 minutes — the same info you'd give a lawyer.
We create your minute book — organizational resolutions, bylaws, share certificates, director consents, and applicable registers.
Download PDF and Word formats, add the required signatures, and keep the finished records in your dashboard.
From Registry to Signed

Enter your company details once. Each year, MinuteKeep prepares annual resolutions and related records from the people and dates already in your profile.
Articles, bylaws, registers, share certificates, ISC register, and resolutions kept together — see what belongs in a Canadian minute book. A status view shows how complete your records are and what is still missing.
Plain-English resolutions for every common corporate action — open a bank account, authorize a contract, issue shares, appoint an officer. Written by a practicing Canadian corporate lawyer, not AI.
Describe what happened — "we issued shares", "a director resigned" — and the assistant narrows it to the right lawyer-drafted template. Deterministic by design: your documents never come out of a text generator.
Director consents, resignation letters, meeting notices & waivers, shareholder proxies, share transfer forms, and the certificate of incumbency your bank asks for — pre-filled and ready to sign. Unlimited with Pro, or $9.99 each.
Keep annual dates visible, including the Federal 60-day annual-return window and Ontario's fiscal-year deadline — check them with the free compliance deadline calculator. Eligible Federal corporations can also be compared against the public registry.
No credit card, no onboarding call. See the document quality before you decide.

A minute book is a connected corporate record, not a single prompt. MinuteKeep uses lawyer-drafted templates and one company profile to keep resolutions, registers, certificates, and annual records consistent as your corporation changes.
No — that's the point. Enter your company details and MinuteKeep prepares a polished minute book from lawyer-drafted templates. For unusual transactions, complex structures, disputes, or specific legal advice, consult a lawyer.
Yes. A holding company can be recorded as a shareholder of an operating corporation, with its authorized representative on file. When both companies are managed in MinuteKeep, the system can look through the holding company to identify the individuals who ultimately own or control 25% or more and build the ISC register from that connected ownership.
Yes. A corporation can elect to issue its shares without paper certificates — increasingly common practice for modern private companies, and permitted under the CBCA and OBCA. Turn on uncertificated shares in your company settings and the whole minute book adapts: organizational resolutions authorize uncertificated issuance, each shareholder receives a Notice of Uncertificated Shares in place of a certificate page, and the securities register stands as the evidence of ownership. Prefer traditional paper certificates? That remains the default, with certificate numbers tracked automatically.
Missing or disorganized records can create friction when you open a bank account, work with an accountant, raise financing, or sell the company. Corporations also have separate annual filing obligations that can affect registry status when missed.
MinuteKeep supports Federal (CBCA), Ontario (OBCA), British Columbia (BCBCA), Alberta (ABCA), and Quebec (QBCA) corporations.
MinuteKeep keeps important dates visible and your supporting corporate records organized. Annual returns are submitted separately through the appropriate government registry by you or your professional adviser.
Minutes, not weeks. Enter your core company details and MinuteKeep prepares your minute book, including organizational resolutions, bylaws, share records, director consents, and applicable registers, in PDF and Word.
MinuteKeep prepares routine corporate records from lawyer-drafted templates using the information you provide. Confirm the details, review the documents, and obtain the required signatures before keeping or using them.
Yes. Eligible Federal corporations can be imported or linked through Corporations Canada; Ontario corporations are entered manually. You can also upload existing records and organize them alongside your generated documents.
Yes. No contracts, no cancellation fees. Cancel anytime from your billing settings and you keep Pro access until the end of your billing period. Your generated documents are always yours to keep — they don't disappear when you cancel.
Yes. Your data is encrypted in transit and stored securely. MinuteKeep does not sell or share corporate information for third-party marketing; operational service providers process data as described in our Privacy Policy. Payments are handled by Stripe, and MinuteKeep does not store full card details.
Yes. MinuteKeep Pro can generate a minute book as it stood at the end of a past fiscal year, using the appointment, resignation, share-issue, and cessation dates you enter. You can also prepare missing annual resolutions to reconstruct a clearer corporate history.
